Binding Agreement

These Terms and Conditions (the “Terms”) govern your access to and use of the Draydex LLC (“Draydex,” “we,” “our,” or “us”) web portal, API, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Access & License

  • We grant you a non‑exclusive, non‑transferable, revocable license to access and use the Services solely for your internal business purposes.
  • You may not sublicense, rent, lease, sell, distribute, or otherwise make the Services or any data available to third parties without our prior written consent.
  • You are responsible for maintaining the confidentiality of all login credentials and API keys and are liable for all activities under your account.

2. Ownership of Data & IP

  • All content, data, pricing information, software, documentation, and other materials made available through the Services are and remain the exclusive property of Draydex and are protected by intellectual property laws.
  • Any data you submit to or generate through the Services becomes Draydex’s property, subject to our Privacy Policy. Your use of such data is licensed under these Terms; no ownership is conveyed.
  • You may not copy, scrape, mine, cache, or otherwise extract data except as explicitly permitted herein.

3. API Usage

  • API access is subject to usage limits, rate limits, quotas, and other technical or contractual restrictions we set and may update from time to time.
  • We may monitor, throttle, suspend, or terminate API access at any time for any reason, including security concerns, misuse, or excessive calls that degrade service.
  • You may not use the API in a way that impairs our systems, disrupts service to others, violates law, or attempts to reverse engineer or bypass technical protections.

4. Service Modifications & Availability

  • We may modify, update, or discontinue any part of the Services at any time without notice.
  • While we aim for high availability, we make no guarantees about uptime, speed, performance, or fitness for a particular purpose. Scheduled or emergency downtime may occur without prior notice.

5. Pricing, Payments, & Billing

  • Fees are listed on our Pricing page at draydex.com/pricing and may change at any time.
  • Payments are processed by Stripe. Draydex does not store, process, or have access to your full payment card details. By paying through Stripe, you agree to Stripe’s terms and privacy policy.
  • You authorize Draydex to automatically charge your payment method for recurring fees until you cancel. Late or failed payments may result in suspension or termination.
  • All amounts are non‑refundable unless we state otherwise in writing or as required by law.

6. Security

  • You must implement reasonable measures to secure your credentials and API keys and notify us immediately of any suspected unauthorized access.
  • Draydex is not responsible for losses resulting from compromised credentials unless caused solely by our gross negligence or willful misconduct.

7. Acceptable Use

  • No unlawful, infringing, defamatory, fraudulent, or abusive use of the Services.
  • No automated scraping, bulk exporting, or competitive benchmarking without written consent.
  • No attempts to circumvent rate limits, security measures, or access controls.

8. Term & Termination

  • We may suspend or terminate your account or access at any time, with or without notice, for any reason.
  • Upon termination, your license to use the Services ends immediately. Provisions relating to ownership, payments due, disclaimers, limitations, indemnities, and governing law survive termination.

9. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non‑infringement, or uninterrupted/ error‑free operation.

10. Limitation of Liability

To the maximum extent permitted by law, Draydex shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, loss of goodwill, or business interruption. Our total liability for any claim relating to the Services shall not exceed the amounts you paid to Draydex in the six (6) months preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Draydex and our officers, directors, employees, and agents from and against any third‑party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or your violation of any third‑party rights.

12. Branding & Publicity

You may reference Draydex to describe your use of the Services, subject to our brand guidelines. Unless you opt out in writing, Draydex may display your company name and logo to identify you as a user. No endorsement or partnership is implied by such use.

13. Changes to These Terms

We may update these Terms by posting a revised version on our website. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

14. Governing Law & Venue

These Terms are governed by the laws of the State of Illinois. Any disputes shall be resolved exclusively in the state or federal courts located in Kane County or DuPage County, Illinois, and the parties consent to personal jurisdiction and venue in those courts.
